Membership Agreement for Buying Leads

1. Terms of Use and Incorporation of Policies

1.1 The MYGTO Terms and Conditions (Terms of Use), Privacy Policy, Refund Policy, Data Retention Policy and Data Security Policy (the "Policies") are incorporated into and apply to this Membership Agreement. References in the Terms of Use to "Terms" are read as including this Membership Agreement for the Buying Leads service.

1.2 Capitalised terms not defined here have the meaning in the Terms of Use. In this Agreement: "MYGTO" means [LEGAL ENTITY NAME]; "Member" means the person or entity that registers for Buying Leads; "Buying Leads" means the service through which Members can view, unlock and respond to Leads; "Lead" means a buyer requirement, enquiry or business opportunity; "Credit" means a prepaid unit used to unlock Leads or Lead contact details; "Plan" means the membership tier chosen by the Member; "Fees" means all amounts payable to MYGTO.

1.3 Order of precedence: in case of conflict between this Agreement and the Terms of Use, this Agreement prevails for Buying Leads.

2. Registration and Eligibility

2.1 Before accessing Buying Leads you must register by completing the application form specified by MYGTO. MYGTO may reject any application, or require additional verification, without giving reasons.

2.2 By applying, you warrant that: (a) all actions needed to authorise your entry into and performance of this Agreement have been taken; (b) this Agreement constitutes your legal, binding and enforceable obligation; (c) the information provided is true, accurate and complete; and (d) you are a business or professional using the Service solely for trade purposes and not as a consumer.

2.3 MYGTO accepts your application by communicating your Member ID and credentials, or by activating your account, by email or other means. Acceptance is at MYGTO's discretion.

2.4 You agree to provide any information and documents MYGTO reasonably requests (including KYC and business verification) and to notify MYGTO promptly of any material change.

2.5 You consent to MYGTO's collection and use of your information as set out in the Privacy Policy, as updated from time to time.

2.6 This Agreement is concluded electronically. Your clicking "I Agree", paying Fees or using the Service constitutes your electronic signature and acceptance.

3. Membership Plans, Fees and Payment

3.1 Plan features, Fees and Credit allocations are as shown on the Website at the time of purchase and form part of this Agreement. MYGTO may change Plans and Fees prospectively on [30] days' notice; changes do not affect the current paid term.

3.2 Fees are exclusive of GST and other applicable taxes, duties and bank/gateway charges, which you shall bear. MYGTO will issue tax invoices as required by law. If any withholding or deduction is required by law, you shall gross up payments so that MYGTO receives the full amount.

3.3 Fees are payable in advance by the methods offered on the Website. You authorise MYGTO and its payment processors to charge your selected method. Failed or reversed payments may result in suspension.

3.4 Auto-renewal. If you select a recurring Plan, it renews automatically for successive terms of the same length at the then-current Fee unless you cancel before renewal in your account settings or by notice to [Support@myglobaltradeops.com] at least [7] days before renewal. MYGTO will send a reminder before renewal where required.

3.5 Credits: (a) are non-transferable, non-withdrawable and have no cash value; (b) expire at the end of the Plan term or [12] months from purchase, whichever is earlier, unless the Plan states otherwise; (c) are deducted upon unlocking a Lead whether or not you succeed in contacting or transacting with the buyer; and (d) are forfeited on termination for Member breach.

3.6 Upgrades take effect immediately with pro-rata adjustment as shown at checkout. Downgrades take effect at the next renewal. Fees are non-refundable except as stated in the Refund Policy.

3.7 MYGTO may recover collection and legal costs. MYGTO may suspend access until all dues are cleared.

3.8 Fees paid by cross-border Members remain payable in full; the Member bears currency conversion and remittance charges.

4. Buying Leads: Nature of the Service

4.1 Leads and related information are provided by other users or generated through the Website and are not verified by MYGTO unless expressly marked. Neither the posting, matching, ranking or notification of a Lead, nor any other MYGTO action, is a recommendation, endorsement or guarantee of any person, offer, product or service.

4.2 NO GUARANTEE. MYGTO does not warrant the genuineness, accuracy, completeness, quality, exclusivity, volume, freshness or commercial value of any Lead, nor that any Lead will result in a response, order, payment or profit. MYGTO is not a party to and has no liability for any transaction between Members and buyers.

4.3 Verified Lead means only that MYGTO performed the limited checks described on the Website (for example, email or phone confirmation) at a point in time. It is not a warranty of identity, solvency or intent.

4.4 Lead access may be exclusive or shared as stated for each Lead or Plan. Unless stated as exclusive, a Lead may be released to multiple Members. Maximum number of Members per Lead: [N].

4.5 MYGTO may refuse to post, edit, hide, withdraw, re-assign or remove any Lead or information at any time without liability, and may change matching algorithms, Lead categories, and the manner of delivery.

4.6 Information you submit must be true, not misleading, lawful and non-infringing. Information accepted for posting may be accessible to the public or other Members. You indemnify MYGTO against all liabilities, damages, claims, costs and expenses (including legal fees) arising from information you provide.

4.7 MYGTO is not responsible for any use by another person of information on Buying Leads.

5. Permitted Use and Restrictions on Leads

5.1 Internal purpose only. You may use Leads solely for your own internal business purpose of responding to the specific buyer enquiry to which the Lead relates.

5.2 You must not, directly or indirectly: (a) sell, resell, rent, license, share, publish, syndicate, exchange or otherwise disclose Leads or buyer details to any third party (other than your employees who need to know and are bound by confidentiality); (b) use Leads for mass emailing, cold-calling campaigns, telemarketing, building databases or mailing lists, or any unrelated marketing; (c) scrape, harvest or bulk-download Leads or use bots or automated tools; (d) contact buyers in breach of anti-spam, do-not-call or data-protection laws; (e) use Leads to compete with MYGTO or build a competing service; or (f) use multiple accounts to evade Plan limits.

5.3 Non-circumvention. For [24] months after you first access a buyer or supplier through the Service, you shall not use that introduction to bypass MYGTO or avoid Fees for additional Leads or services that MYGTO would otherwise provide. This does not restrict ordinary dealings between you and that party.

5.4 Authorised users. Only the registered Member and its authorised employees may use the account. You may not transfer any right or obligation, or permit any person to use your Member ID or password. You are liable for all acts of your users.

5.5 You are responsible for providing and maintaining the telecommunications, software and equipment needed to access the Service and for related costs.

6. Member Warranties and Compliance

6.1 You warrant and undertake that you will: (a) comply with all Applicable Law, including trade, customs, export-import, foreign exchange, anti-corruption, anti-money-laundering, sanctions, consumer and data-protection laws; (b) treat buyer personal data in accordance with the Digital Personal Data Protection Act, 2023, GDPR and other applicable laws, using it only for the purpose for which it was shared; (c) not make false, misleading or deceptive representations to buyers or MYGTO; (d) honour valid legal obligations you assume to buyers; and (e) not be, and not deal with, a sanctioned or prohibited person.

6.2 MYGTO may audit or request evidence of your compliance with Clause 5 and 6, and you shall cooperate. MYGTO may monitor Lead usage patterns for abuse.

6.3 You shall promptly inform MYGTO of any suspected fraud, data breach or misuse of a Lead that comes to your attention.

7. Complaints about Lead Quality; Replacement Credits

7.1 If an unlocked Lead is demonstrably invalid (for example, an invalid or non-existent contact, duplicate of a Lead you already unlocked, or a Lead later found by MYGTO to be fraudulent), you may apply to [support@myglobaltradeops.com] within [48 hours] of unlocking with supporting evidence.

7.2 If MYGTO, in its reasonable judgement, confirms the defect, MYGTO's sole liability and your exclusive remedy is to restore the corresponding Credit(s) to your account. Lack of response from a buyer, buyer disinterest, price or specification mismatch, or competitive outcome is not a defect.

7.3 Refunds are governed by the Refund Policy.

8. Intellectual Property and Data

8.1 MYGTO owns all rights in Buying Leads, its databases, compilations, matching technology, trade marks and content. You receive only a limited, non-exclusive, non-transferable, revocable right to use the Service under this Agreement.

8.2 You grant MYGTO a worldwide, perpetual, royalty-free licence to use information, product listings and materials you submit to operate, display and promote the Service.

8.3 MYGTO may use aggregated and anonymised usage data for analytics and service improvement.

9. Confidentiality

9.1 Each party shall keep confidential the non-public information of the other received in connection with this Agreement and use it only to perform or enforce it, except for disclosure required by law, regulators or courts, or to professional advisers under duty of confidence.

9.2 Lead contact details are confidential to you and may be used only as permitted in Clause 5.

10. Suspension and Termination

10.1 You may terminate this Agreement by not less than [30] days' prior written notice (including by email) to MYGTO. Termination does not entitle you to a refund except as stated in the Refund Policy.

10.2 MYGTO may suspend or terminate this Agreement immediately by notice if: you breach this Agreement or the Policies; you misuse Leads; MYGTO suspects fraud, illegality, sanctions exposure or reputational harm; you fail to pay; or for any reason with [15] days' notice. Where termination is for Member breach, unused Credits and prepaid Fees are forfeited, to the extent permitted by law.

10.3 On termination: your right to access Buying Leads ends immediately; you shall cease using and, on request, delete or return Lead data not required by law to be retained; and amounts due become payable. Termination does not affect rights accrued before termination.

10.4 Clauses 3.7, 4.2, 5, 6, 8, 9, 11, 12, 13 and this Clause survive termination.

11. Limitation of Liability and Indemnity

11.1 MYGTO's liability is limited as set out in the Terms of Use. Without limiting that, MYGTO is not liable for any loss of profit, business, opportunity or data, or indirect or consequential loss, arising from Buying Leads, and MYGTO's total aggregate liability shall not exceed the Fees you paid for the Plan in the [12] months preceding the claim.

11.2 You shall defend, indemnify and hold harmless MYGTO and its Affiliates from all claims, losses and expenses (including legal fees) arising from your breach of this Agreement, misuse of Leads or violation of law or third-party rights.

12. Notices

12.1 MYGTO may give notice by a general notice on Buying Leads, ordinary mail to your address, or email to your email address on record. Notices posted on the Service or emailed are deemed received on the day sent; notices posted by mail are deemed received [7] days after posting (outside India) or [3] days (within India).

13. Governing Law and Dispute Resolution

13.1 This Agreement is governed by the laws of India. Disputes shall be resolved under the escalation, arbitration and jurisdiction provisions of Clause 17 of the Terms of Use, which apply with necessary changes.

14. Entire Agreement and General

14.1 This Agreement, the Terms of Use, the Policies and any Order Form constitute the entire agreement between MYGTO and you on this subject and supersede all prior written or oral agreements and representations, and any terms in documents sent by either party, on that subject matter.

14.2 MYGTO may amend this Agreement by notice as provided in the Terms of Use. Force majeure, severability, no-waiver, assignment and relationship clauses of the Terms of Use apply to this Agreement.

14.3 Counterparts and electronic acceptance: this Agreement may be accepted electronically and records of acceptance (timestamp, IP address, version) maintained by MYGTO are conclusive evidence of acceptance.
